Terms of Use

IF YOU ARE A BORROWER (each, a "Borrower") of money subject to a loan or financing agreement with us (each, a "Financing Agreement"), these Terms of Use supplement your Financing Agreement with us and you must comply with both the requirements of your Financing Agreement and with these Terms of Use.

IF YOU ARE A VENDOR of equipment, software or other goods or services (each, a "Vendor") subject to an agreement with us under which you arrange for us to enter into Financing Agreements with customers of yours that are Borrowers (each, a "Vendor Program Agreement"), these Terms of Use supplement your Vendor Program Agreement with us and you must comply with both the requirements of your Vendor Program Agreement and with these Terms of Use. If you are a Vendor that has a purchase order with us (a "Vendor Purchase Order") but does not also have a separate Vendor Program Agreement, the terms of your Vendor Purchase Order are binding on you and supplement these Terms of Use.

Supplemental terms and conditions or documents that may be posted about our Services from time to time are hereby expressly incorporated herein by reference. Fundwell reserves the right at its sole discretion to change, modify, add or remove portions of these Terms of Use at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms of Use. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site or Services following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, Fundwell grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site and Services.

The information provided by our Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

If you are subject to any industry-specific or other applicable statute, regulation or judicial or administrative ruling that regulates your activities (collectively, "Applicable Law"), and Applicable Law would require you to take actions different from those required under these Terms of Use or the Services, you must notify us of such requirements of Applicable Law, and we will not be held liable for any actions you take in violation of such Applicable Law.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

Intellectual Property

This Site, the content, any materials downloaded, and all intellectual property pertaining to or contained on the Site (including but not limited to copyrights, patents, database rights, graphics, designs, text, logos, trade dress, trademarks and service marks) are owned by Fundwell or third parties and all right, title and interest therein shall remain the property of Fundwell and/or such third parties (collectively, the "Content"). The trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us. All Content and Marks are protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions.

The Content and the Marks are provided on the Services "AS IS" for your information and personal use only. You are authorized solely to view and retain a copy of the pages of the Site for your own personal, non-commercial use. You may also view and make copies of relevant documents, pages, images or other materials on this Site for the purpose of transacting business with Fundwell. Except as expressly provided in these Terms of Use, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

You agree that you will not (i) duplicate, publish, modify, create derivative works from, participate in the transfer of, post on the World Wide Web, or in any way distribute or exploit the Site, or any portion of the Site for any public or commercial use without the express written consent of Fundwell; (ii) remove or alter any author, trademark or other proprietary notice or legend displayed on the Site (or printed pages produced from the Site); and (iii) make any other modifications to any documents obtained from the Site other than in connection with completing information required to transact business with Fundwell.

Logos, trademarks, images, etc. are the property of Fundwell unless otherwise noted and may not be copied, used, linked, disseminated, etc. without Fundwell's prior express written approval. Requests for approval should be directed to info@fundwell.com.

We reserve all rights not expressly granted to you in and to the Services, the Content and the Marks.

User Representations and Registration

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose, including any violation of Applicable Law; and (7) your use of the Services will not violate Applicable Law.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

You may be required to register with the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

Two-Factor Authentication (2FA) and Critical Communications

To help protect your account and ensure secure access to our services, we require all users to complete Two-Factor Authentication (2FA) using a one-time passcode (OTP) sent via SMS or email. By using our services, you agree to receive these OTP messages as a mandatory part of our authentication process.

Please note that OTP messages are considered essential for the operation and security of your account. Therefore, even if you opt out of receiving marketing or other non-essential communications from us, you will still receive OTP messages and other critical service-related communications via SMS or email as necessary.

Site Security

As a condition of your use of this Site, you agree that you will not, and you will not take any action intended to: (i) access data that is not intended for you; (ii) invade the privacy of, obtain the identity of, or obtain any personal information about any Fundwell customer or user of this Site; (iii) probe, scan or test the vulnerability of this Site or the Fundwell network or breach security or authentication measures without proper authorization; (iv) attempt to interfere with service to any user, host or network or otherwise attempt to disrupt our business, including, without limitation, via means of submitting a virus to this Site, overloading, "flooding," "spamming," "mail bombing" or "crashing;" or (v) send unsolicited mail, including promotions and/or advertising of products and services. Violations of system or network security may result in civil or criminal liability.

Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or the Content contained therein.
• Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
• Use any information obtained from the Services in order to harass, abuse, or harm another person.
• Make improper use of our support services or submit false reports of abuse or misconduct.
• Use the Services in a manner inconsistent with any applicable laws or regulations.
• Use the Services to advertise or offer to sell goods and services without authorization.
• Engage in unauthorized framing of or linking to the Services.
• Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party's uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.
• Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
• Delete the copyright or other proprietary rights notice from any Content.
• Attempt to impersonate another user or person or use the username of another user.
• Sell or otherwise transfer your profile.
• Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ("gifs"), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as "spyware" or "passive collection mechanisms" or "pcms").
• Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
• Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
• Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
• Copy or adapt the Services's software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
• Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
• Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Services, or using or launching any unauthorized script or other software.
• Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
• Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavor or commercial enterprise without authorization.

User Generated Contributions

We may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be viewable by other users of the Services and through third-party websites. As such, any Contributions you transmit may be treated in accordance with the Services Privacy Policy.

When you create or make available any Contributions, you thereby represent and warrant that:

• The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
• You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Services, and other users of the Services to use your Contributions in any manner contemplated by the Services and these Terms of Use.
• You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Services and these Terms of Use.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
• Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
• Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
• Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.
• Your Contributions do not violate any applicable law, regulation, or rule.
• Your Contributions do not violate the privacy or publicity rights of any third party.
• Your Contributions do not contain any material that solicits personal information from anyone under the age of 18 or exploits people under the age of 18 in a sexual or violent manner.
• Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
• Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
• Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.

Any use of the Services in violation of the foregoing violates these Terms of Use and may result in, among other things, termination or suspension of your rights to use the Services.

Contribution License

You and the Services agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices (including settings).

By submitting suggestions or other feedback regarding the Services, you agree that we can use and share such feedback for any purpose without compensation to you.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Services. You are solely responsible for your Contributions to the Services and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Services ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

This Site may contain (or you may be sent via the Site) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

Services Management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

Privacy

Fundwell's Privacy Notice applies to use of this Site, and its terms are made a part of these Terms of Use by this reference. By using the Services, you agree to be bound by our Privacy Policy. Additionally, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to or submit through the Site may be read or intercepted by others, notwithstanding Fundwell's efforts to protect such transmissions.

Please be advised the Services are hosted in the United States. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you agree to have your data transferred to and processed in the United States.

Availability of Services

You will need a working connection to the Internet via a web browser on your computer or mobile device. You are responsible for all costs, expenses and fees related to your access to the Services. From time to time, due to the performance of maintenance, malfunctions or failures of software, equipment, or telecommunications devices, unusual transaction volume or similar reasons the Site may not be available for your use. We will make every effort to minimize the periods of time during which the Site is unavailable.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. Method of Communication

You agree to maintain or update the e-mail address that you provide to us if you would like us to communicate with you electronically. E-mail is not secure and you understand that there are risks associated with communicating via e-mail, including the possibility of unauthorized access, failure to receive e-mails because they have been misdirected or sent to a spam folder, and your inability to access e-mail due to power outages, hardware or software malfunctions or failures of your computer or mobile device, or matters affecting the Internet or your access to the Internet. Do not rely on e-mail if you need to contact us immediately. For security reasons, we may not be able to respond to certain e-mail requests.

Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. Text/SMS Messaging Program Terms and Conditions

When you provide us your phone number, submit an application on our Site and accept our Terms of Application, you acknowledge and agree that you are opting in to Fundwell's text/SMS messaging program, to receive informational and marketing text/SMS messages from Fundwell or Fundwell's third-party service providers (collectively for purposes of these Terms and Conditions, "Fundwell") and any text/SMS messages between you and Fundwell shall be subject to the terms and conditions set forth below. You may also opt-in to our text/SMS messaging program by providing us your phone number and consenting to receiving informational and marketing text/SMS messages via the telephone.

By opting in:

• You agree that Fundwell may send recurring text messages to the mobile phone number associated with your opt-in (i.e., the number from which you opt-in to Fundwell's text/SMS messaging program).
• You confirm that you are the subscriber to the relevant phone number or that you are the customary user of that phone number on a family or business plan and that you are authorized to opt in. You must immediately notify Fundwell at 888-688-9577 if your phone number is changed or deactivated, and you agree to indemnify Fundwell and any third parties texting on our behalf in full for all claims, expenses, and damages related to or caused, in whole or in part, by your failure to immediately notify us if you change or deactivate your phone number.
• You understand that the frequency of our text/SMS messages and maximum number of messages per month may vary. Our communications may include information about any current or future applications, accounts, products or services that you have with or through Fundwell or any applications, accounts, products or services that we think may be of interest to you. Message and data rates may apply for each text/SMS message sent or received in connection with our program. Please consult with your phone carrier to determine your phone's pricing plan and the charges your carrier may charge for sending and/or receiving text/SMS messages.
• You may opt out of our text/SMS messaging program at any time. To opt out, reply "STOP" to any Fundwell text/SMS message you receive, and you will receive a text message confirming that you have been unsubscribed. You may also opt-out by contacting us at marketing@fundwell.com with "Opt-Out" in the subject line or at the following mailing address: Attn: Marketing, Opt-Out 450 N Park Rd, Suite #610 Hollywood, FL 33021. • Data obtained from you in connection with Fundwell's text/SMS messaging program may include your mobile phone number, your carrier's name, and the date, time and content of your messages and any other information you provide to Fundwell as part of the program. We may use such data to provide you our products or services that you request or to market to you product or services that we think may be of interest to you or otherwise communicate with you. Such data, including your mobile number or text message originator opt-in data and consent, will not be shared with third parties for their marketing or promotional purposes, except where there is a legal requirement to do so or with your consent. • Fundwell may suspend or terminate your participation in our text/SMS messaging program if we believe you are in breach of these terms and conditions at any time with or without prior notice to you. Your participation in our program is also subject to termination in the event that your carrier service terminates or lapses. Fundwell reserves the right to modify or discontinue, temporarily or permanently, all or any part of our text/SMS messaging program, with or without notice.
• Our text/SMS messaging program may not be available on all phone carriers. Participating carriers of our text/SMS messaging program include AT&T, T-Mobile®, Verizon Wireless, Sprint, Boost, U.S. Cellular, Google Voice, Cellular One, MetroPCS, Cellcom, Cellular South, Carolina West Wireless, Interop, ClearSky, nTelos, and Virgin Mobile. Fundwell reserves the right to add or remove any phone carrier from our program at any time with or without notice. Fundwell and our participating carriers do not guarantee continuous, uninterrupted, or secure text/SMS message services and will not be liable for any delayed or undelivered text/SMS messages.

Fundwell reserves the right to change or amend these Text/SMS Messaging Program Terms and Conditions at any time and your continued consent to receive text/SMS messages from Fundwell constitutes your agreement to all such changes. You should review these Terms and Conditions regularly to ensure that you are aware of future changes.

Liability for Unauthorized Activity

If you believe that your information submitted through the Site has been used without your permission, you must tell us immediately by contacting us at info@fundwell.com or call us at 888-688-9577. If you fail to notify us, you may be liable for all unauthorized activity.
